Standards & Ethical Principles
Perot Systems adopted Standards & Ethical Principles to define the broad ethical principles and standards of conduct that govern how we conduct our business. Our Standards & Ethical Principles apply to all directors, officers, and employees (collectively, "Associates") of Perot Systems Corporation and each of its subsidiaries, including our Chief Executive Officer, Chief Financial Officer, principal accounting officer, controller, and other leaders. Corporate Governance
Perot Systems' Board of Directors has adopted Corporate Governance Guidelines, which set forth corporate governance practices and policies under which the Board operates, and are intended to comply with requirements imposed by the Sarbanes-Oxley Act and the rules of the New York Stock Exchange. Director Independence
The Board has determined that all members of Perot Systems' Board of Directors, except for Ross Perot, Ross Perot, Jr., and Steven Blasnik, are independent under the rules of the New York Stock Exchange, Perot Systems' Director Independence Standards, and applicable Securities and Exchange Commission rules. All members of the Audit, Compensation, and Nominating & Governance Committees of the Board are independent. More

Audit Committee
The Audit Committee has adopted guidelines concerning the receipt, retention, and treatment of accounting, internal accounting controls, and auditing matters. These procedures are intended to complement out Standards & Ethical Principles, which provide for the confidential, anonymous submission of concerns regarding questionable accounting or auditing matters through our Confidential Hotline and other means.
